Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Jasiri Basel, Inc., a Louisiana corporation ("Jasiri Basel," "we," "us," "our"), regarding your use of ConceptConnect, the business operations platform we own and operate. ConceptConnect is accessible at conceptconnect.net and my.conceptconnect.net/conceptxx.

By creating an account, accessing, or using ConceptConnect, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use ConceptConnect.

If you are entering these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity. If you do not have such authority, you must not use ConceptConnect on behalf of that entity.

1. Eligibility

To use ConceptConnect, you must be at least 18 years old (or the age of majority in your jurisdiction) and capable of entering into a binding contract. ConceptConnect is intended for use by businesses and the individuals who operate them, not by consumers for personal purposes.

You may not use ConceptConnect if you are barred from doing so under the laws of the United States or any other applicable jurisdiction, or if your use would violate any sanctions, embargoes, or export control regulations.

2. The ConceptConnect Service

ConceptConnect is a software-as-a-service business operations platform. It provides tools for:

• Customer relationship management (CRM) and contact management
• Sales pipeline management, forecasting, proposal generation, and invoicing
• Email and SMS marketing campaigns
• Voice broadcast and phone system integration
• Social media publishing across multiple connected platforms
• AI-assisted content generation and brand voice configuration
• Project management, task tracking, and team collaboration
• Document management and storage
• Calendar, events, and reservation management
• Press relationship management and media outreach
• E-commerce, order processing, and payment collection
• Analytics and reporting across all of the above
• Custom modules and integrations developed for individual customers

ConceptConnect may add, modify, or discontinue features over time. We will provide reasonable notice of material changes that affect functionality you depend on.

3. Account Registration and Security

To use ConceptConnect, you must register for an account by providing accurate, current, and complete information. You agree to keep this information up to date.

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Promptly notifying us of any unauthorized access, security breach, or suspicious activity
• Ensuring that anyone you grant access to your ConceptConnect account also complies with these Terms
• Using strong passwords and enabling additional security features when offered

ConceptConnect is not liable for any loss or damage arising from your failure to safeguard your account credentials.

4. Customer Responsibilities

ConceptConnect is a tool you use to operate your own business. The way you use it is your responsibility. Specifically, you agree that:

4.1 You are the data controller for your data

Any contact information, mailing lists, customer records, e-commerce orders, content, or other data you upload or create inside ConceptConnect is your data, and you are the data controller for that data under applicable privacy laws. ConceptConnect processes that data on your behalf as a data processor under the terms described in our Privacy Policy.

You represent and warrant that:

• You have all necessary rights, consents, and legal bases to upload and process the data you put into ConceptConnect
• The contacts on your mailing lists have provided valid consent to receive communications from you, where consent is required
• You will respond to data subject requests (access, deletion, opt-out, etc.) from your own customers in a timely manner
• You will provide your customers with a clear and accurate privacy notice describing how you handle their information
• You will comply with all applicable data protection, anti-spam, and electronic communications laws including but not limited to the GDPR, CCPA, CAN-SPAM Act, and TCPA

4.2 You comply with the rules of connected platforms

When you connect a third-party platform such as Facebook, Instagram, TikTok, X, LinkedIn, YouTube, or Google Business Profile to ConceptConnect, you agree to comply with that platform's own terms of service, community guidelines, and policies. ConceptConnect provides the technical means to publish content on those platforms; the content itself, and your compliance with each platform's rules, is your responsibility.

5. Acceptable Use

You agree not to use ConceptConnect to:

• Violate any applicable law, regulation, or third-party right
• Publish or transmit content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, hateful, or otherwise objectionable
• Publish or transmit content that infringes any patent, trademark, trade secret, copyright, publicity right, or other proprietary right
• Send unsolicited bulk email, text messages, or other communications in violation of anti-spam laws (CAN-SPAM, TCPA, GDPR, CASL, and equivalents)
• Send communications to recipients who have not consented to receive them where consent is required, or who have opted out
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Distribute viruses, worms, malware, or any other malicious code
• Attempt to gain unauthorized access to ConceptConnect systems, other users' accounts, or any data not belonging to you
• Reverse-engineer, decompile, disassemble, or attempt to extract the source code or underlying ideas of ConceptConnect
• Use automated scripts, scrapers, bots, or similar tools to access ConceptConnect in a way that exceeds the limits of normal use or degrades service for other users
• Resell, sublicense, or otherwise commercialize ConceptConnect or any part of it without our prior written consent
• Use ConceptConnect to develop a product or service that competes with ConceptConnect
• Engage in any activity that interferes with or disrupts the platform, its servers, or networks connected to it
• Bypass any security or access controls, rate limits, or usage restrictions
• Use ConceptConnect to violate the terms of service of any connected third-party platform

ConceptConnect reserves the right to investigate suspected violations and to suspend or terminate accounts that engage in prohibited conduct.

6. Customer Content and Intellectual Property

6.1 Your content is your content

You retain all rights, title, and interest in and to the content you create, upload, or transmit through ConceptConnect ("Customer Content"). ConceptConnect does not claim ownership of your Customer Content.

6.2 License to operate the service

By using ConceptConnect, you grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, format, transcode, display, and process your Customer Content solely as necessary to provide and improve the platform and the features you have enabled. This license includes the right to:

• Transmit your Customer Content to connected platforms when you publish it
• Generate previews, thumbnails, and rendered versions of your content (such as videos created from your photos)
• Send your campaigns to recipients on the lists you have provided
• Create backups for service continuity and disaster recovery

This license terminates when you delete the relevant Customer Content or close your account, except for backups which expire under the schedule described in the Privacy Policy.

6.3 ConceptConnect intellectual property

ConceptConnect, its software, design, trademarks, logos, documentation, and all intellectual property rights therein are and remain the property of Jasiri Basel, Inc. Nothing in these Terms transfers any ownership rights in ConceptConnect to you. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use ConceptConnect in accordance with these Terms.

6.4 Feedback

If you provide us with feedback, suggestions, or ideas about ConceptConnect, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation or attribution to you.

7. Third-Party Platforms and Services

ConceptConnect integrates with many third-party platforms and services, including but not limited to Facebook, Instagram, TikTok, X (formerly Twitter), LinkedIn, YouTube, Google Business Profile, payment processors, email delivery services, and SMS gateways. Your use of those third-party services is governed by their own terms of service and privacy policies.

ConceptConnect is not responsible for:

• Changes to third-party platform APIs, policies, or features
• Outages, downtime, or rate limiting on third-party platforms
• Content removed, accounts suspended, or actions taken by third-party platforms
• Accuracy of data, analytics, or metrics returned by third-party platforms
• Fees charged by third-party platforms or services
• Disputes between you and any third-party platform

If a third-party platform changes its terms in a way that prevents ConceptConnect from offering an integration, ConceptConnect may modify or discontinue that integration without liability.

8. Fees, Billing, and Refunds

Paid plans are billed in advance on a monthly or annual basis as selected during signup or upgrade. By providing a payment method, you authorize ConceptConnect (and its payment processor) to charge that method for all fees due.

• Auto-renewal. Subscriptions automatically renew at the end of each billing cycle unless cancelled before the next renewal. You can cancel from your account settings at any time.
• Refunds. Fees are non-refundable except where required by law. Cancellation takes effect at the end of the current billing cycle and you retain access until then.
• Price changes. ConceptConnect may change pricing with at least 30 days notice to existing customers. Changes take effect at your next renewal.
• Failed payments. If a payment fails, we will attempt to retry. After repeated failures, ConceptConnect may suspend your account until payment is resolved.
• Taxes. Fees are exclusive of applicable taxes. You are responsible for all taxes associated with your use of ConceptConnect except for taxes based on Jasiri Basel's net income.
• E-commerce processing fees. If you use ConceptConnect's e-commerce features to accept payments, payment processing fees charged by the underlying processor are separate from ConceptConnect subscription fees.

9. Service Availability and Modifications

ConceptConnect strives to provide a reliable, available service but does not guarantee uninterrupted access. The platform may be temporarily unavailable due to maintenance, upgrades, technical issues, or events beyond our reasonable control.

We reserve the right to:

• Modify, update, or improve the platform at any time
• Add, change, or remove features
• Schedule maintenance windows, with advance notice for planned downtime where reasonably possible
• Discontinue specific integrations or modules with reasonable notice if doing so becomes necessary

ConceptConnect will not eliminate substantial functionality that you depend on without providing reasonable notice and, where practical, an alternative.

10. Suspension and Termination

10.1 Termination by you

You may terminate your ConceptConnect account at any time from your account settings or by contacting our team using the Cancel Account topic. Termination takes effect at the end of your current billing cycle and you remain responsible for any unpaid fees through that date.

10.2 Termination by ConceptConnect

ConceptConnect may suspend or terminate your account, with or without notice, if:

• You materially breach these Terms or our Privacy Policy
• You engage in conduct that violates the Acceptable Use rules in Section 5
• Your account becomes delinquent and remains unpaid after notice
• We are required to do so by law, court order, or to comply with regulatory action
• Your use creates a security or operational risk to ConceptConnect or its other customers

10.3 Effect of termination

Upon termination:

• Your right to access and use ConceptConnect ceases immediately
• You can request an export of your data within 30 days of termination
• After 30 days, ConceptConnect will delete your customer-uploaded data from active systems, subject to backup retention and any legal hold requirements
• Provisions of these Terms that by their nature should survive termination (including ownership, warranty disclaimers, indemnification, limitation of liability, and dispute resolution) will survive

11. Confidentiality

In the course of using ConceptConnect, you may have access to non-public information about our platform, technology, pricing, roadmap, or business operations ("Confidential Information"). You agree to keep such information confidential and to use it only for the purpose of using ConceptConnect under these Terms. Likewise, ConceptConnect treats your business data and account information as confidential and protects it as described in our Privacy Policy.

12. Disclaimer of Warranties

ConceptConnect is provided "AS IS" and "AS AVAILABLE." To the maximum extent permitted by law, Jasiri Basel disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Jasiri Basel does not warrant that:

• ConceptConnect will be uninterrupted, timely, secure, or error-free
• Defects will be corrected immediately
• The platform is free of viruses or other harmful components
• The results obtained from using ConceptConnect will meet your expectations or business goals
• Any specific feature will continue to be offered

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

13. Limitation of Liability

To the maximum extent permitted by law, Jasiri Basel, Inc. and its affiliates, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation damages for lost profits, lost revenue, lost data, lost business opportunities, business interruption, or any other commercial damages or losses, arising out of or related to your use of or inability to use ConceptConnect, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for any claim arising out of or related to these Terms or your use of ConceptConnect, whether in contract, tort, or any other theory of liability, shall not exceed the greater of (a) the amount you paid to ConceptConnect in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless Jasiri Basel, Inc., its affiliates, officers, directors, employees, contractors, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of ConceptConnect
• Your Customer Content and the way you use it
• Your violation of these Terms or any applicable law
• Your violation of any third-party right, including intellectual property, publicity, or privacy rights
• Any communication or campaign you send through ConceptConnect, including any anti-spam or consent violations
• Any dispute between you and a third party, including connected platforms and end recipients of your communications

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Louisiana, United States, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of ConceptConnect shall be resolved in the state or federal courts located in East Baton Rouge Parish, Louisiana, and you consent to the personal jurisdiction of those courts.

Notwithstanding the above, ConceptConnect may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

16. Changes to These Terms

ConceptConnect may modify these Terms from time to time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Notify registered users by email or in-platform notification
• For significant changes, provide at least 30 days notice before the changes take effect

Continued use of ConceptConnect after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, your remedy is to stop using ConceptConnect and cancel your account.

17. General Provisions

• Entire agreement. These Terms, together with our Privacy Policy and any order forms or addenda, constitute the entire agreement between you and Jasiri Basel regarding your use of ConceptConnect.
• Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
• No waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Force majeure. Neither party is liable for failure to perform due to causes beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet outages, and third-party platform failures.
• Notices. Notices to you may be sent to the email address associated with your account. Notices to ConceptConnect should be sent to legal@conceptconnect.net or via the contact form.
• Relationship. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Jasiri Basel.
• Headings. Section headings are for convenience only and have no legal effect.
